1. Definitions
1.1 Key terms
- Creator: the user initiating the IP transfer (typically the project creator or current owner).
- Client: the designated recipient of IP ownership (brand, agency, or individual).
- Project: the specific creative work and all associated assets.
- Freeze Point: the moment when ownership becomes immutable (first license, sale, or revenue).
- IP rights: all intellectual property including copyright, trademark potential, and derivative rights.
2. IP ownership transfer
2.1 Scope of transfer
By accepting these terms, you agree to transfer:
- 100% of copyright ownership for all project content.
- Full commercial control including licensing, distribution, and monetization rights.
- Derivative rights for adaptations, modifications, and new works based on this content.
- Administrative control as Super Admin on the Mix-IP platform for this project.
2.2 What you retain
As the original Creator, you retain:
- Creator credit and attribution — your name remains as the creator of record.
- Portfolio rights — ability to showcase the work in your creative portfolio.
- No royalty claims unless specifically negotiated with the Client.
2.3 Pre-Freeze Point modifications
Before the Freeze Point, IP ownership can be:
- Modified with mutual consent between Creator and Client.
- Reverted in cases of non-payment or breach of contract.
- Adjusted for contributor additions or project scope changes.
2.4 Post-Freeze Point permanence
After the Freeze Point (first license, sale, or revenue event):
- IP ownership becomes permanent and immutable.
- Changes require legal proceedings outside of Mix-IP.
- All historical records are locked in the blockchain audit trail.
3. Client rights and responsibilities
3.1 Client access
Upon IP transfer, the Client receives:
- Super Admin access with full project control.
- Revenue management rights for all monetization.
- Team management authority for the project.
- Export and distribution rights without restriction.
3.2 Client obligations
The Client agrees to:
- Respect creator attribution rights.
- Maintain accurate records of ownership.
- Use the content in accordance with applicable laws.
- Honor any negotiated creator compensation terms.
4. Creator obligations
4.1 Transfer warranties
By initiating this transfer, you warrant that:
- You have the legal right to transfer IP ownership.
- The work is original or you have proper licenses for all included content.
- No third-party claims exist that would encumber the transfer.
- All contributors have agreed to project terms or Work for Hire agreements.
4.2 Contributor management
If the project has contributors:
- Each contributor's agreement applies to their specific contributions.
- Overall project IP transfers to the Client as specified.
- Contributors retain their agreed-upon royalty shares (if any).
5. Freeze Point and permanence
5.1 Freeze Point triggers
The Freeze Point is triggered by:
- First license sale or syndication.
- First revenue distribution.
- First marketplace listing with active sale.
- Manual lock by project Super Admin.
5.2 Effects of the Freeze Point
Once triggered:
- Ownership structure cannot be changed.
- Royalty splits become permanent.
- All legal agreements are locked.
- Blockchain provenance is finalized.
6. Disputes and resolution
6.1 Pre-Freeze disputes
Before the Freeze Point, disputes are resolved through:
- Platform mediation tools.
- Documented communication between parties.
- Potential reversion to original ownership if unresolved.
6.2 Post-Freeze disputes
After the Freeze Point, disputes require:
- Formal legal proceedings.
- Mix-IP records serve as evidence.
- Platform-based resolution is not available.
7. Platform role
7.1 Mix-IP's position
Mix-IP:
- Facilitates IP transfers but does not guarantee them.
- Maintains immutable records of all agreements.
- Provides audit trails for legal verification.
- Does not arbitrate post-Freeze disputes.
7.2 Record keeping
All IP transfers are documented with:
- Timestamp and version control.
- Digital signatures from all parties.
- Blockchain-verified provenance.
- Exportable legal documentation.
8. Acknowledgments
8.1 Creator acknowledgment
By accepting these terms, the Creator acknowledges:
- This transfer may be permanent and irrevocable after the Freeze Point.
- Full understanding of the rights being transferred.

- Mix-IP is not responsible for the terms negotiated between parties.
8.2 Binding agreement
